Key takeaways
- Evernorth registers 11.5 million shares tied to warrants
- Full cash exercise could generate $132.2 million
- Potential dilution puts XRP-per-share strategy under scrutiny
Ripple-backed XRP treasury company Evernorth Holdings has filed a new prospectus with the US Securities and Exchange Commission covering nearly 11.5 million shares, potentially allowing the Nasdaq-listed company to raise approximately $132.2 million if all associated warrants are exercised for cash.
The October 19 filing covers up to 11,499,992 Class A common shares, each linked to an existing public warrant exercisable at $11.50.
Importantly, Evernorth has not announced a new sale of 11.5 million shares for immediate cash. The registration concerns shares that may be issued when warrant holders exercise their existing rights.
The development comes shortly after Evernorth's Nasdaq debut, bringing renewed attention to how its financing structure could affect shareholders' exposure to XRP.
Evernorth's New SEC Filing Could Unlock $132 Million
Under the prospectus, warrant holders can acquire one Class A share for each eligible public warrant they exercise.
At the $11.50 exercise price, full cash exercise would generate approximately $132.25 million in gross proceeds for Evernorth. However, actual proceeds depend on whether holders exercise their warrants and how those exercises occur.
The company states it will not receive proceeds from subsequent shareholder sales of the registered stock.
The warrants trace back to the special purpose acquisition company that merged with Evernorth earlier this month.
The October 9 transaction established a public-market vehicle focused on XRP, following the previously announced SPAC merger.
Evernorth's common shares trade on Nasdaq under XRPN, while its public warrants trade under XRPNW.
What Could the Share Registration Mean for XRP?
Evernorth operates differently from a conventional XRP exchange-traded fund.
Its strategy centers on holding and actively managing a substantial XRP treasury, potentially generating additional returns through lending, liquidity provision and other financial activities.
The company entered public markets with approximately 473 million XRP, making it one of the largest publicly traded corporate XRP holders.
It subsequently named Ripple, Coinbase, Kraken and BitGo as partners for its planned institutional XRP strategies.
However, the new filing does not state that proceeds from warrant exercises must be used to purchase XRP.
That distinction matters because additional shares could increase the denominator used to calculate XRP holdings per share.
If Evernorth issues more equity without proportionately increasing its XRP reserves, each share could represent a smaller economic interest in the underlying treasury.
XRPN Investors Face a New Treasury Financing Question
The filing adds another consideration for investors assessing the relationship between Evernorth's share price and its underlying cryptocurrency holdings.
As Coinpaper previously explained, the company restructured its equity terms to better align ownership allocations with XRP's market value ahead of its listing.
Its objective remains increasing XRP per share over time, rather than merely accumulating the largest possible token balance.
A successful cash warrant exercise could provide additional financial resources, but its effect on existing shareholders would depend on subsequent capital allocation and dilution.
The distinction is particularly important following XRP's recent market capitalization decline, which has increased scrutiny of corporate treasury valuations.
