Evernorth Takes Major Step Toward Making XRP a Public-Market Powerhouse

Evernorth has cleared a major regulatory hurdle that brings its planned Nasdaq debut and XRP-focused treasury strategy closer to reality.

The SEC has declared Evernorth’s Form S-4 registration statement effective, paving the way for the next key milestone: a September 30, 2026 shareholder vote. 

Armada Acquisition Corp. II shareholders will decide whether to approve the proposed business combination. If approved and all closing conditions are met, the combined company is expected to trade on Nasdaq under the ticker XRPN.

Nevertheless, the real story goes far beyond simply putting XRP on a corporate balance sheet.

More Than an XRP Treasury

Evernorth’s strategy is designed to actively deploy capital across the XRP ecosystem rather than simply buy XRP and hold it.

Its stated objective is to increase XRP per share over time, while investing in infrastructure and opportunities tied to tokenization, on-chain credit and blockchain-based financial services.

Well, this model could create a new bridge between traditional capital markets and on-chain finance.

A Nasdaq listing would give public-market investors another avenue for XRP exposure without requiring them to directly hold the asset. Furthermore, Evernorth aims to put institutional capital to work across the infrastructure supporting the broader XRP economy.

The potential significance lies in Evernorth’s attempt to turn XRP exposure into an active capital strategy.

The effective S-4 does not guarantee a Nasdaq listing. Shareholder approval, closing requirements and Nasdaq conditions still have to be satisfied.

Still, the regulatory clearance marks a significant step forward.

If the transaction closes, XRPN could become more than another publicly traded crypto company. It could provide public investors with a new gateway into the XRP economy while channeling institutional capital toward infrastructure designed to expand XRP’s role in on-chain finance.
