Evernorth, a Ripple-backed digital asset treasury company, is approaching a major shareholder vote that could bring a treasury of more than 473 million XRP into the public-market spotlight.

Armada Acquisition Corp. II shareholders are scheduled to vote on the proposed combination on Sept. 30. If approved and other closing and listing conditions are met, the combined company expects to trade on Nasdaq under XRPN.

The development comes as institutional interest in XRP continues to expand. U.S. spot funds already hold roughly 1.1 billion tokens, even as the recent CLARITY Act failure sent XRP sharply lower.

Evernorth Has Built a 473 Million XRP Treasury

The size of Evernorth's holdings is what makes the proposed listing particularly interesting.

The company announced that its XRP purchases and committed contributions had surpassed 473.3 million XRP, including an additional acquisition of roughly 84.4 million tokens for $214 million.

Importantly, 473 million new XRP aren't suddenly about to be purchased because of the Nasdaq transaction. Much of the treasury has already been acquired or committed.

Instead, the significance is that investors could gain stock-market exposure to a company built specifically around a massive XRP treasury.

This Isn't Another XRP ETF

A spot XRP ETF primarily gives investors exposure to movements in XRP's price.

Evernorth has a different strategy.

The company says it intends to increase XRP per share over time, including through yield generation, participation in the XRP ecosystem and capital-markets activities.

That makes Evernorth closer to an actively managed crypto treasury company than a passive ETF.

The distinction is especially interesting after XRP ETFs accumulated roughly 1.1 billion tokens despite recent price weakness. Evernorth could add another public-market route for investors seeking XRP exposure.

Its backers also include major crypto names such as Ripple, SBI Group, Pantera Capital, Kraken, GSR and Arrington Capital.

Why Sept. 30 Matters

The SEC has already declared Evernorth's Form S-4 registration statement effective, clearing an important step toward completing the transaction.

Now the focus moves to shareholders.

The Sept. 30 vote could determine whether Evernorth moves closer to becoming a Nasdaq-listed XRP treasury company under XRPN.

That gives XRP another specific catalyst after the token was recently hit by the failed CLARITY Act vote and the broader crypto liquidation wave.
