Hyperliquid Strategies has dramatically expanded the financing machine behind one of crypto’s largest token treasury bets.
The Nasdaq-listed company amended its committed equity facility with Chardan Capital Markets, increasing the maximum purchase amount from $1 billion to $2.5 billion, according to a Sept. 1 Form 8-K filed with the SEC. The amendment therefore gives the company another $1.5 billion of potential equity-raising capacity, although it does not guarantee that capital will actually be raised.
That distinction matters because Hyperliquid Strategies has already demonstrated exactly what it intends to do with equity capital.
29.3M HYPE Treasury Could Grow Further
Through June 30, the company had raised approximately $646.6 million under the original facility at an average issuance price of $8.70 per share. It later disclosed that $773.4 million had been deployed to acquire roughly 16.5 million HYPE at an average $46.77, helping lift its total holdings to about 29.3 million HYPE.
At roughly $83 per HYPE on Sept. 2, those 29.3 million tokens would be worth around $2.4 billion on a simple mark-to-market basis. HYPE itself was down about 1% over 24 hours.
The bigger facility therefore creates substantial room for further treasury accumulation if management chooses to issue more PURR shares.
That arrives as Hyperliquid’s broader institutional footprint is expanding. Coinpaper recently tracked the platform’s U.S. regulatory push, while HYPE-linked investment products have also attracted growing institutional demand.
The Trade-Off Is Dilution
For PURR shareholders, however, that additional buying power comes with an obvious cost.
PURR dropped 7.3% to $11.36 on Sept. 1, even though the stock remains up roughly 73% over the past month.
The amended agreement introduces an important $12.02 reference price after the first $1 billion of facility sales. Below that price, the company cannot issue more than 42.64 million additional shares, equivalent to 19.99% of the pre-amendment share count: without shareholder approval or an applicable Nasdaq exemption.
| Metric | Current position |
|---|---|
| Equity facility | $2.5B |
| Additional capacity | $1.5B |
| Capital already raised | $646.6M |
| HYPE holdings | ~29.3M |
| PURR Sept. 1 close | $11.36 |
| Dilution reference price | $12.02 |
Hyperliquid’s Growth Strengthens the Treasury Thesis
The expansion comes against a strong operating backdrop for Hyperliquid itself.
Hyperliquid Strategies says the protocol generated roughly $945 million of ecosystem value during the 12 months through June, while its share of global perpetual-futures volume reached about 9.4%. Hyperliquid also accounted for roughly 63% of decentralized perpetual open interest as of Aug. 23.
Institutional interest has been growing alongside that activity. Coinpaper has covered Grayscale’s HYPE accumulation and the expansion of HYPE ETFs.
The new filing therefore sharpens the central PURR trade-off. Hyperliquid Strategies now has considerably more capacity to compound its exposure to HYPE, but every additional dollar raised through the facility can also increase the share count.
For investors, the next question is not simply whether the company buys more HYPE. It is whether HYPE appreciation and staking economics can outpace the dilution required to finance those purchases.
